These Terms of Service (“Terms”) govern your access to and use of DepoDispatch and its related websites, dashboards, and features (the “Service”), which is owned and operated by DepoDepot of Lafayette, Louisiana (“DepoDepot,” “we,” “us,” or “our”). By creating an account, scheduling or accepting a job, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
DepoDispatch is a technology platform that helps law firms, court-reporting agencies, and legal professionals schedule depositions and connect scheduling parties with court reporters, legal videographers, interpreters, and other legal-support providers (“Providers”). DepoDepot is not a court-reporting agency, is not a party to any engagement between a scheduling party and a Provider, and does not provide court-reporting, videography, interpreting, or legal services. We simply facilitate connections and scheduling.
You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account. Firm administrators are responsible for the users, providers, and rosters they add, and represent that they are authorized to add them. We may suspend or terminate any account at our discretion, including for violation of these Terms.
Any deposition, assignment, booking, payment, or professional engagement arranged through the Service is solely between the scheduling party and the Provider. We do not employ Providers, do not control their work, do not guarantee that any job will be accepted or covered, and do not guarantee the availability, licensure, credentials, punctuality, quality, or performance of any Provider or scheduling party. You are responsible for independently vetting the parties you engage and for your own agreements, fees, cancellations, and deliverables. We are not responsible for no-shows, errors, disputes, non-payment, or the acts or omissions of any user or Provider.
You agree not to: (a) use the Service for any unlawful, misleading, or fraudulent purpose; (b) misrepresent your identity, credentials, or authority; (c) add or invite any person without authority to do so; (d) upload false, defamatory, or infringing content; (e) interfere with, disrupt, probe, scrape, or attempt to gain unauthorized access to the Service or its data; or (f) use the Service to harass any person or to circumvent our fees or features.
Certain features (such as firm Subscriber plans) may carry fees, which will be disclosed before you incur them. Promotional pricing is time-limited and may change. Free features are provided at no charge and may be modified or discontinued at any time.
The Service’s software, design, and content are owned by DepoDepot or its licensors. The names “DepoDispatch,” “DepoDepot,” and our logos are our marks. Descriptive terms such as “court reporter” are the ordinary generic names of a profession and are used only descriptively.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY JOB WILL BE FILLED OR ANY PROVIDER WILL PERFORM.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL DEPODEPOT OR ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE OR ANY ENGAGEMENT ARRANGED THROUGH IT, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100).
Because engagements are between users and Providers, and to the fullest extent permitted by law, you hereby release, waive, acquit, and forever discharge DepoDepot and its owners, members, managers, officers, employees, agents, affiliates, successors, and assigns (the “Released Parties”) from any and all claims, demands, causes of action, liabilities, damages, losses, costs, and expenses of every kind and nature whatsoever, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, anticipated or unanticipated, that you now have, have ever had, or may hereafter have, arising out of or in any way relating to your use of the Service, any engagement arranged through it, or the acts or omissions of any user or Provider.
You understand that this release covers claims you do not know or suspect to exist in your favor at the time of this release. You expressly and knowingly waive the benefits and protections of any statute or common-law rule that would otherwise limit a general release to claims known to the releasing party, including, to the extent applicable, the protections of California Civil Code Section 1542 and any similar law of any jurisdiction. Section 1542 reads: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You waive any such protection to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless the Released Parties from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your content, your engagements, or your violation of these Terms or any law or the rights of any third party.
These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to the Service or these Terms will be brought exclusively in the state or federal courts located in Lafayette Parish, Louisiana, and you consent to the personal jurisdiction of those courts.

By using DepoDispatch you acknowledge that you have read, understood, and agree to these Terms of Service, including the Release of Claims in Section 9, and to our Privacy Policy.
